About this Policy

This Acceptable Use Policy ("AUP" or the "Policy") is incorporated into the Terms of Service between Neuphonic Limited ("Neuphonic", "we", "us", or "our") and the User using or otherwise accessing the Platform ("you" or "your"). Capitalised terms used but not defined in this Policy bear the meanings prescribed to them in the Terms of Service, which are available on our website, whether such capitalised terms are capitalised or not.


Changes to this Policy

Although we will endeavour to notify you of any material changes via email, we reserve the right to update this Policy on our website at any time without prior written notice to you. Any updates to this Policy will be deemed effective thirty (30) days from the notification date unless stated otherwise in any such notification. Your continued use of the Platform or the Services will constitute acceptance of any such changes after they have taken effect. If you do not agree to any such changes, you must not use the Platform.


Breaching this Policy

If you do not comply with this Policy, this may lead to a written warning, a request to modify your behaviour, suspension or termination of your account and access to the Platform, or other actions. We reserve the right to determine, acting reasonably, whether your use of the Platform violates this Policy. By accessing or using the Platform, you agree to comply with this Policy.

[1] Using the Platform

Except as expressly permitted by the Terms, you will not (and will not allow anyone else to do any of the following, which includes Use of any inputs, outputs or other content you provide or generate when using the Platform):

  • Reverse engineer, decompile, create derivative works, or attempt to discover any source code or underlying ideas or algorithms of the Platform;
  • Provide, sell, transfer, sublicense, lend, distribute, rent, or otherwise allow others to access or use the Platform;
  • Remove any proprietary notices or labels;
  • Copy, modify, or create derivative works of the Platform;
  • Conduct security or vulnerability tests on, interfere with the operation of, cause performance degradation of, or circumvent access restrictions of, the Platform;
  • Access accounts, information, data, or portions of the Platform to which you do not have explicit authorization in the Terms;
  • Use the Platform to develop a competing service or Platform;
  • Use the Platform for any activities prohibited by Applicable Laws, in contravention of any Applicable Laws or for harmful, abusive, or unlawful purposes (including defaming or harassing Neuphonic or any third parties, or interfering in any political, electoral, or democratic processes);
  • Use the Platform to obtain unauthorised access to anyone else's networks or equipment;
  • Train any third party models using any Platform outputs or incorporate any outputs in any data sets for training use with any open-source, closed-source, proprietary or other large language models or equivalent;
  • Use, disclose, or reproduce (and agree to take reasonable measures to prohibit others from using, disclosing, or reproducing) the Platform or any output arising therefrom for the purposes of developing, training, or otherwise using or improving any AI Platforms, whether or not such AI Platforms would make the content available to the public;

You must not upload, submit, or otherwise make available any Personal Data unless you have all necessary rights, consents, and a valid legal basis to do so under applicable law.

You must not use the Platform to generate, distribute, or facilitate content that:

  • impersonates any person or entity without appropriate authorisation;
  • is deceptive, fraudulent, or intended to mislead;
  • infringes the rights of any third party, including intellectual property or privacy rights; or
  • is harmful, abusive, or otherwise unlawful.

Any such data will be subject to our Privacy Policy, unless we have agreed to enter into a data processing agreement with you or have agreed to otherwise supersede any terms in the Privacy Policy.


[2] Account Removal

We may remove or suspend your account in any of the following circumstances:

  • Deal with technical problems or make minor technical changes (provided we remove any such suspension or otherwise restore your access when we have completed making any such changes);
  • Update the Platform to reflect changes in Applicable Laws (provided we remove any such suspension or otherwise restore your access when we have completed making any such changes);
  • If we reasonably suspect you have breached or may breach your obligations in this Policy or the Terms;
  • If we reasonably determine that your free account is inactive for ninety (90) calendar days (meaning that no users have signed in);
  • Where applicable, if you fail to pay the relevant fees as set out in the Terms when such fees fall due (including any mutually agreed extensions to such due dates);
  • If we reasonably suspect that keeping the account active may be unlawful or may infringe any third-party rights;
  • If you submit an account closure request, unless we are required by Applicable Laws or if we have a legal obligation to keep your account information;
  • If we suspect that your continued use may, in our reasonable opinion, exceed any agreed upon Use limitations (including but not limited to load limits, concurrency limitations or equivalent, including any reasonable usage limits or technical restrictions communicated to you), or otherwise result in material harm to the Platform. We will promptly notify you of any such suspension or limitation, and will endeavour, on a good faith, best efforts basis, to limit any such suspension if reasonably possible under the circumstances.

If your account is removed you will no longer be able to sign into your account and any and all data in your account, including the account name, may be permanently deleted and may not be capable of recovery. We may take reasonable steps to notify you prior to removing or suspending the account but will be under no obligation to do so. We are not liable for any loss of data as a result of applying this Policy. You acknowledge that upon termination, we may retain and use your information as necessary to comply with our legal obligations, resolve disputes, and enforce our agreements.
